1. NAMES AND OBJECTS
The club shall be called the Lhasa Apso Association of Wales and South West and its objects shall be to promote the welfare of Lhasa Apsos and uphold the recognised Standard of the breed as laid down by the Kennel Club.
All profits from any source, functions and/or activities of the association shall be maintained for the benefit of the breed and the further education of the Association's Members.
2. OFFICERS AND COMMITTEE
The Association shall consist of Patron, President, a maximum of four Vice-Presidents, Honorary Secretary, Honorary Treasurer and a Committee of twelve, two of whom are to be Chairman and Vice-chairman of that Committee, and an unlimited number of Members.
The Vice-Presidents shall not be ex-officio members of the Committee and have the power to vote.
No person whilst an undischarged bankrupt may serve on the Committee of or hold any other office or appointment within the Association.
3. COMMITTEE
The management of the Association shall be in the hands of the Officers of the Club and a Committee consisting of twelve members, four of whom shall retire on a three year rotation and other than in exceptional circumstances the Honorary Secretary and Honorary Treasurer not to be re-elected during the same year.
No Committee Member shall serve on the committee of another Lhasa Apso Breed Club neither shall more than two people from one family or partnership serve as Officers or Committee Members.
President and Vice-Presidents serve at pleasure but other Officers and Committee Members serve for three years and shall be eligible for re-election without nomination.
The Chairman of each meeting shall have a casting vote in addition to his or her own original vote.
Meetings of the Committee shall be held as often as deemed necessary but at least four times per annum.
Notice of Committee meetings shall be fourteen days prior.
A quorum for Committee meetings shall be five.
The Committee shall have the power to co-opt members on to the Committee in the event of positions becoming vacant between General Meetings.
Those co-opted shall only hold office until the next General Meeting of the Association at which an election of Officers and Committee takes place.
Any member of the Committee failing to attend three consecutive meetings or functions without valid reason, accepted by the Committee shall be deemed to have resigned and forfeit the right of re-election to the Committee for the next full year.
No individual who has been a member for fewer than two years (twenty four months) may be elected onto the Committee and nominees are to provide a brief curriculum vitae outlining their involvement with dogs.
4. ELECTION OF MEMBERS
Candidates for membership shall apply on the appropriate form and shall be proposed and seconded by fully paid up members of the Association who must be of different families/partnerships.
Their membership shall be voted on at the first Committee meeting following receipt of application.
One third voting against shall exclude from membership and no reason for exclusion shall be given.
5. VOTING RIGHTS
Each member shall be entitled to one vote immediately upon acceptance of membership.
Joint members shall have one vote per member.
Junior members have no voting rights.
Postal votes will be allowed for election of Officers or Committee Members.
On other matters voting shall be by secret ballot or show of hands as decided by majority at meeting, but any interested party will be asked to leave the room for the duration of the vote.
6. CLUB PROPERTY
The property of the Association shall be vested in the Committee.
In the event of the Association ceasing to exist a General meeting shall be called to decide the disposal of the Association's assets and the outcome of the meeting notified to the Kennel Club.
(If the registered Association is wound up or ceases to be a Registered Society under these regulations a final statement of accounts with a record of the disposal of the property of the Association, shall be forwarded to the Kennel Club within six months and the persons named as Officers and Committee of the Association will be held responsible by the Kennel Club for the proper winding up of the Association).
7. CLUB ACCOUNTS
A Banking Account in the name of the Association shall be held, into which all revenue of the Association shall be paid and from which withdrawal shall only be made on the signature of two of the following:- Hon. Secretary, Hon. Treasurer or Chairman of Committee and Accounts will be certified annually and presented to members at the Annual General Meeting.
8. SUBSCRIPTIONS
The annual subscription shall be such an amount as agreed by members in a General Meeting and notified to the Kennel Club.
No member whose subscription is unpaid is entitled to any of the privileges of membership and if the member shall fail to pay outstanding subscriptions by March 1st his/her name shall be automatically erased from the register.
Acceptance back onto the register will be at the discretion of the Committee and payment of the current year's subscription.
9. EXPULSION OF MEMBERS
Any Member who shall be suspended under Kennel Club Rule A42j(4) and or any member whose dog(s) is/are disqualified under Kennel Club Rule A42j(8) shall ipso facto cease to be a Member of the Association for the duration of the suspension and/or disqualification.
If the conduct of any member shall, in the opinion of the Committee of the Association be injurious or likely to be injurious to the character or interests of the Association, the Committee of the Association may, at a meeting, the notice convening which includes as an object the consideration of the conduct of the member, determine that a Special General Meeting of the Association shall be called for the purpose of passing a resolution to expel him/her.
If at the Meeting, a resolution to expel is passed by a two-thirds majority of the members present and voting, his/her name shall forthwith be erased from the list of Members, and he/she shall thereupon cease for all purposes to be a Member of the Association except that he/she may, within two calendar months from the date of such a Meeting, appeal to the Kennel Club upon and subject to condition as the Kennel Club may impose.
10. FINANCIAL YEAR/ANNUAL GENERAL MEETING
The financial year of the Association shall be from January 1st to December 31st.
The Annual General Meeting shall be held prior to April 30th.
11. GENERAL MEETINGS
a)To receive the report of the Committee and Balance Sheet to elect Officers and to discuss any resolution duly placed on the Agenda of which prior notice has been given to the Hon. Secretary. No business shall be transacted at an Annual General Meeting unless notice thereof appears on the agenda with the exception of routine matters or those which in the opinion of the Chairman of the Meeting are urgent.
b)Notice of such meetings will be given to members in writing or by notice in both 'Dog World' and 'Our Dogs'.
c)52 days notice of meetings will be given.
d)Items for inclusion on the Agenda are required by the Secretary 42 days prior to the Meeting.
e)The Agenda will be circulated to be received at least seven days prior to the Meeting.
11a. SPECIAL GENERAL MEETINGS
A Special General Meeting shall be summoned by the Hon. Secretary if twenty members send a signed requisition stating the subject to be discussed and requesting a Special General Meeting to do so.
The Committee of the Association is also empowered to call a Special General Meeting. No business other than that detailed on the Agenda can be discussed at a Special General Meeting.
12. ANNUAL RETURNS TO THE KENNEL CLUB
The Officers acknowledge that during the month of January each year Maintenance of Title fee will be forwarded to the Kennel Club by the Secretary for the Continuance of Registration and that by July 31st each year other returns as stipulated in the Kennel Club Regulations for the Registration and Maintenance of Title of Societies and Breed Councils and the Affiliation of Agricultural Societies and Municipal Authorities will be forwarded to the Kennel Club.
The Association must notify the Kennel Club of any amendments of Officers and Committee and any amendments to the Rules of the Association.
13. KENNEL CLUB FINAL COURT OF APPEAL
The Kennel Club shall be the final court of appeal in all matters of dispute.
14. The Association shall not join any Federation of Societies, Clubs or Associations.
15. The Association will make a list of members and their addresses available for inspection if so required by the members of the Association or by the Kennel Club.
